Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Stay With The Question platform, website, applications, coaching interfaces, and related services (collectively, the “Service”).

The Service is operated by FalconBridge Partners FZC LLC, an Ajman Free Zone company registered in the United Arab Emirates (“FalconBridge”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Important Service Scope and Limitations

Stay With The Question (“SWTQ”) is an AI-assisted personal inquiry and coaching platform designed to support reflection, self-inquiry, perspective exploration, and structured questioning.

SWTQ is not:

  • psychotherapy;

  • counselling;

  • psychiatric treatment;

  • medical treatment;

  • mental health care;

  • crisis intervention;

  • emergency support;

  • legal, financial, or professional advice; or

  • a substitute for qualified human support.

The Service is intended solely as a coaching and reflective inquiry tool.

The AI-generated content available through the Service is informational and reflective in nature. It is not diagnostic, therapeutic, clinical, or prescriptive.

You acknowledge and agree that:

  • AI-generated responses may be inaccurate, incomplete, unsuitable, or emotionally inappropriate in certain contexts;

  • the Service may not identify all situations involving emotional distress, crisis, or risk;

  • you remain solely responsible for your decisions, actions, wellbeing, and interpretation of any content generated through the Service; and

  • no fiduciary, therapist-patient, healthcare-provider, or counselling relationship is created through use of the Service.

If you are in crisis, considering self-harm, experiencing suicidal thoughts, or require urgent support, do not rely on the Service. Contact local emergency services or an appropriate crisis-support provider immediately.

2. Eligibility

You may only use the Service if:

  • you are at least 18 years old;

  • you have legal capacity to enter into binding agreements;

  • your use of the Service is not prohibited under applicable laws; and

  • you provide accurate and complete registration information.

You may not use the Service on behalf of another individual without authorization.

3. Account Registration and Security

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • all activities occurring under your account;

  • ensuring your contact information remains current; and

  • promptly notifying us of unauthorized access or suspected security incidents.

We reserve the right to suspend or terminate accounts that:

  • contain false or misleading information;

  • violate these Terms;

  • create security risks;

  • misuse the Service; or

  • create legal or operational risk for FalconBridge or other users.

4. Single-User and Device Controls

Your account is personal to you.

Unless expressly authorized by FalconBridge, you may not:

  • share your account;

  • permit multiple individuals to use one account; or

  • resell or commercially exploit access to the Service.

We may implement device-session controls, concurrent-session limitations, authentication restrictions, or other technical controls designed to protect the integrity and security of the Service.

5. AI-Assisted Coaching and User Responsibility

The Service uses artificial intelligence systems, including third-party large language model providers, to generate coaching and inquiry responses.

You acknowledge and agree that:

  • AI systems may generate content that is inaccurate, misleading, biased, incomplete, offensive, or inappropriate;

  • AI outputs should not be relied upon as professional advice or factual certainty;

  • AI-generated outputs are probabilistic and may vary between sessions;

  • the Service does not independently verify the factual accuracy of AI outputs; and

  • you are solely responsible for evaluating and acting on any information generated through the Service.

You agree not to use the Service:

  • during emergencies or crisis situations;

  • as a substitute for professional healthcare or mental-health treatment;

  • for diagnosis or treatment decisions;

  • to obtain emergency support; or

  • in any manner that could create foreseeable risk of harm.

6. Crisis and Safety Protocols

The Service includes automated safety systems designed to identify certain language patterns associated with crisis situations, self-harm, or imminent emotional distress.

You acknowledge and agree that:

  • these systems are limited and may produce false positives or false negatives;

  • the Service is not monitored in real time by healthcare professionals;

  • automated intervention systems are intended solely as safety-support mechanisms;

  • FalconBridge does not guarantee detection of crisis situations; and

  • the Service cannot guarantee your safety or wellbeing.

Where our systems detect language or behavior associated with crisis risk, we may, at our discretion:

  • pause or restrict access to portions of the Service;

  • display crisis-resource information;

  • send support-resource communications;

  • temporarily suspend coaching functionality;

  • preserve relevant system logs for safety and legal purposes; and/or

  • where legally permitted and reasonably necessary in circumstances involving credible risk to life or serious harm, contact emergency services, authorities, or relevant third parties.

You consent to these safety measures as a condition of using the Service.

Nothing in these Terms creates any obligation for FalconBridge to monitor users, intervene in emergencies, or provide crisis-response services.

7. Subscription Plans, Billing, and Refunds

7.1 Paid Services

The Service may offer:

  • recurring subscriptions;

  • annual plans;

  • lifetime-access products;

  • usage-based credits; and/or

  • promotional or trial access.

Pricing, billing intervals, features, and entitlements are described at the time of purchase.

7.2 Reverse Trial and Auto-Renewal

The Service may offer a 14-day reverse trial or similar promotional access period.

Unless cancelled before the end of the applicable trial or billing period, your subscription will automatically renew and your payment method will be charged at the applicable rate.

By subscribing, you authorize recurring charges until cancellation.

7.3 Cancellation

You may cancel recurring subscriptions at any time through your account settings or applicable payment platform.

Cancellation prevents future renewals but does not retroactively cancel charges already incurred.

7.4 Refund Policy

Unless otherwise required by applicable law:

  • subscription purchases may be eligible for refund requests within seven (7) days of the initial charge or renewal;

  • lifetime-access purchases may be eligible for refund requests within thirty (30) days of purchase;

  • consumed usage-based credits are non-refundable;

  • partially used promotional entitlements may not be refundable; and

  • FalconBridge reserves the right to deny abusive or repeated refund requests.

Refund eligibility determinations are made in FalconBridge’s reasonable discretion and subject to applicable consumer-protection laws.

7.5 Pricing Changes

We may modify pricing, features, or billing structures at any time.

Material pricing changes for recurring subscriptions will be communicated in advance through email, in-app notification, or account notices.

8. Acceptable Use

You agree not to:

  • violate any applicable law;

  • infringe intellectual-property rights;

  • upload unlawful, abusive, defamatory, fraudulent, or harmful content;

  • attempt to reverse engineer or interfere with the Service;

  • bypass security controls or access restrictions;

  • use bots, scraping systems, or automated extraction tools;

  • probe or test vulnerabilities;

  • use the Service to harass or exploit others;

  • submit malicious code or harmful payloads; or

  • use the Service in connection with prohibited or sanctioned activities.

We reserve the right to suspend or terminate accounts that violate these Terms.

9. User Content

You retain ownership of content you submit through the Service, including journal entries, prompts, reflections, and session content (“User Content”).

You grant FalconBridge a limited, worldwide, non-exclusive license to:

  • host;

  • store;

  • process;

  • transmit; and

  • display

User Content solely for:

  • operating the Service;

  • maintaining platform security;

  • complying with legal obligations;

  • improving service functionality using anonymized or aggregated data; and

  • enforcing these Terms.

We do not sell User Content for advertising purposes.

We do not intentionally use personally identifiable coaching content to train public AI models.

You represent and warrant that:

  • you own or control the necessary rights to your User Content; and

  • your User Content does not violate applicable law or third-party rights.

10. Intellectual Property

The Service, including its software, branding, interfaces, visual design, workflows, prompts, architecture, and original content, is owned by or licensed to FalconBridge Partners FZC LLC and is protected under applicable intellectual-property laws.

Except where expressly permitted, you may not:

  • reproduce;

  • distribute;

  • modify;

  • create derivative works from;

  • publicly display; or

  • commercially exploit

any portion of the Service without prior written permission.

Certain concepts, terminology, methodologies, or references appearing within the Service may reference or acknowledge third-party works, methodologies, or publicly known concepts. All third-party names, marks, and rights remain the property of their respective owners.

Nothing in the Service should be interpreted as creating sponsorship, endorsement, partnership, or affiliation with any third-party rights holder unless expressly stated in writing.

FalconBridge reserves all rights not expressly granted under these Terms.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy.

By using the Service, you acknowledge that:

  • your data may be processed in multiple jurisdictions;

  • personal data may be transferred to service providers located outside your country of residence;

  • certain data you voluntarily provide may constitute sensitive or special-category personal data under applicable law;

  • AI processing providers may process portions of your submitted content to generate responses; and

  • FalconBridge may use service providers for hosting, analytics, authentication, communications, payments, security monitoring, and infrastructure operations.

Where required by applicable law, we will request consent for specific categories of processing.

12. International Users

The Service is operated from the United Arab Emirates but may be accessed globally.

You are responsible for ensuring that your use of the Service complies with laws applicable in your jurisdiction.

You acknowledge that:

  • data-protection laws vary by jurisdiction;

  • some consumer rights may apply differently depending on your location; and

  • certain features or services may not be available in all territories.

13. Third-Party Services

The Service may integrate with or rely upon third-party providers, including cloud infrastructure, payment processors, AI providers, analytics providers, authentication providers, and communication services.

FalconBridge is not responsible for:

  • the acts or omissions of third-party providers;

  • third-party outages or failures;

  • third-party terms or privacy practices; or

  • losses arising from third-party systems outside FalconBridge’s reasonable control.

Your use of third-party services may also be governed by those providers’ separate terms and policies.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

FALCONBRIDGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • NON-INFRINGEMENT;

  • AVAILABILITY;

  • SECURITY;

  • ACCURACY; AND

  • RELIABILITY.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;

  • AI OUTPUTS WILL BE ACCURATE OR SAFE;

  • THE SERVICE WILL PREVENT HARM;

  • ANY PARTICULAR OUTCOME WILL RESULT FROM USE OF THE SERVICE; OR

  • THE SERVICE WILL MEET YOUR EXPECTATIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FALCONBRIDGE PARTNERS FZC LLC, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

  • INDIRECT;

  • INCIDENTAL;

  • CONSEQUENTIAL;

  • SPECIAL;

  • EXEMPLARY; OR

  • PUNITIVE DAMAGES,

INCLUDING DAMAGES FOR:

  • EMOTIONAL DISTRESS;

  • LOSS OF DATA;

  • BUSINESS INTERRUPTION;

  • LOST PROFITS;

  • PERSONAL INJURY;

  • RELIANCE ON AI OUTPUTS;

  • CRISIS EVENTS; OR

  • USER DECISIONS OR ACTIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FALCONBRIDGE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO FALCONBRIDGE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

  • USD $100.

Some jurisdictions do not allow certain liability limitations. In such jurisdictions, liability shall be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless FalconBridge Partners FZC LLC and its affiliates, personnel, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

  • your use of the Service;

  • your violation of these Terms;

  • your User Content;

  • your violation of applicable law; or

  • your infringement of third-party rights.

17. Suspension and Termination

We may suspend or terminate access to the Service immediately where reasonably necessary to:

  • protect users or third parties;

  • address security concerns;

  • comply with law;

  • investigate misuse;

  • enforce these Terms; or

  • mitigate operational or legal risk.

You may stop using the Service and delete your account at any time.

Termination does not affect provisions that by their nature survive termination, including:

  • intellectual-property rights;

  • disclaimers;

  • limitations of liability;

  • dispute-resolution provisions; and

  • indemnification obligations.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman, excluding conflict-of-law principles.

Before commencing formal proceedings, the parties agree to attempt good-faith informal resolution of disputes for at least thirty (30) days after written notice.

Except where prohibited by applicable law, disputes arising out of or relating to these Terms or the Service shall be resolved through confidential binding arbitration conducted in the United Arab Emirates in the English language.

You agree that:

  • disputes will be resolved on an individual basis only;

  • class actions and representative proceedings are waived to the extent permitted by law; and

  • you waive any right to participate in collective claims except where such waiver is prohibited.

Nothing in this section prevents FalconBridge from seeking injunctive or equitable relief in competent courts where necessary to protect intellectual-property rights, confidential information, or platform security.

If arbitration provisions are unenforceable in your jurisdiction, disputes shall be subject to the competent courts of Ajman, United Arab Emirates.

19. Export Controls and Sanctions

You may not use the Service if:

  • you are located in a jurisdiction subject to comprehensive sanctions or embargoes;

  • you are prohibited from receiving the Service under applicable export-control laws; or

  • your use would violate UAE, United States, European Union, United Kingdom, or other applicable sanctions regulations.

You represent that you are not a prohibited or sanctioned person.

20. Changes to the Service and Terms

We may modify:

  • the Service;

  • features;

  • pricing;

  • functionality; and/or

  • these Terms

at any time.

Where legally required, we will provide notice of material changes.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

21. General Provisions

If any provision of these Terms is determined unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and FalconBridge regarding the Service and supersede prior agreements or understandings relating to the Service.

Failure to enforce any provision shall not constitute waiver.

You may not assign these Terms without FalconBridge’s prior written consent.

FalconBridge may assign these Terms in connection with a merger, restructuring, acquisition, or asset transfer.
